The offering is expected to include newly issued bearer shares without par value from a capital increase against cash contributions, existing bearer shares without par value from current shareholders, as well as bearer shares without par value in connection with possible over-allotments (the &#8220;Offering&#8221;), which are covered by an over-allotment option (Greenshoe) from existing shareholders.
